These Terms of Use ("Terms") govern your access to and use of the eDataRooms platform and services ("Service"), operated by Docully SaaS Technologies Co. LLC ("we", "us", or "our"), incorporated in Dubai, United Arab Emirates.
By creating an account, starting a free trial, subscribing to a plan, or using our Service in any way, you agree to be bound by these Terms. If you do not agree, you must not access or use the Service.
eDataRooms is a fully self-serve virtual data room platform for secure document uploading, sharing, collaboration, due diligence, M&A, fundraising, and other business transactions.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your legitimate internal business purposes.
We offer a one-time 3-day free trial on the Starter Plan with 250 MB storage per Data Room. No credit card is required. At the end of the trial, Data Rooms become inaccessible unless you upgrade to a paid plan. You will have a 7-day grace period to reactivate your subscription.
We offer monthly and annual subscription plans, including Starter, Professional, Business, Enterprise, and custom enterprise plans. Pricing, included storage, billing cycles, and specific terms may vary by plan and are subject to change.
Payments are processed securely through Stripe. You may pay using any international Debit or Credit Card issued by VISA or MasterCard. We do not store any card information.
All payments are final. We do not offer refunds, credits, or prorated billing for any reason.
You may cancel your subscription at any time. After cancellation, you will have a 7-day grace period to reactivate.
If you do not reactivate within the 7-day grace period, all Data Rooms, files, documents, logs, and any other data will be permanently and irreversibly deleted from our servers. We have no obligation whatsoever to retain, backup, recover, or restore any data after permanent deletion. Once deleted, the data cannot be recovered or reinstated under any circumstances.
We do not access your Data Rooms or any of your uploaded data unless explicitly authorized by you or by a user with admin rights on your Data Room.
You agree that if our team accesses your Data Room for providing support, investigating a reported issue, or resolving a technical problem, you will hold us harmless for such authorized access. Any access by our team will be strictly limited to the purpose of providing support or fixing the reported issue. You may monitor all such access and request revocation at any time. We undertake that we will not use or access your data for any purpose other than providing the requested support.
You retain ownership of the data and documents you upload. However, you must not upload any primary, original, mission-critical, or sensitive data (including but not limited to original contracts, financial records, personal data, or any data whose loss could cause significant harm). The Service is intended only for secondary or working copies of documents. We strongly recommend maintaining your own backups of all important data.
All intellectual property rights in the Service, including software, design, logos, and underlying technology, are owned by or licensed to Docully SaaS Technologies Co. LLC. You are granted no rights to the Service except the limited license provided above. You may not copy, modify, reverse engineer, or create derivative works of the Service.
You agree not to upload or share any illegal, infringing, harmful, defamatory, or obscene content; use the Service to violate any applicable laws or third-party rights; attempt to gain unauthorized access to the Service or any other user's data; or interfere with the security or operation of the Service. You are solely responsible for all content you upload and all activity under your account.
You agree to indemnify, defend, and hold harmless Docully SaaS Technologies Co. LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses arising from your use of the Service, your uploaded content, or your violation of these Terms.
To the maximum extent permitted by law, Docully SaaS Technologies Co. LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, loss of profits, or business interruption, even if advised of the possibility of such damages. Our total liability shall not exceed the amounts actually paid by you in the three (3) months preceding the claim for the specific subscription.
We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, for any reason.
These Terms are governed by the laws of the United Arab Emirates. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates.
We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the new Terms.
